1. Parties, eligibility and acceptance

You must be at least 18 years old to purchase the Pack. Before payment, you must affirmatively accept this license v1.0 by selecting the acceptance checkbox in checkout. The accepted license version and the date and time of your acceptance are recorded on the server. The month in the title identifies this license edition; it is not your acceptance date.

The licensor and owner of the Process Desk materials is Shervacom Inc (“Shervacom”). The licensee (“you”) is the individual buyer identified by the purchase receipt. “Pack” means the Process Desk Pro Pack v1 digital files delivered for that purchase, version 1.0.0, including their English and Spanish versions. The receipt identifies the purchase; it does not expand this license.

The price is USD $49 as a one-time payment for personal use of those current v1 files. This is a digital-file license, not a subscription, hosted application, managed AI agent, trading service, or ongoing service. Applicable taxes are disclosed before payment. A later version or separate service is not included merely because you bought this Pack.

2. Your personal-use permission

After an authorized purchase and delivery, Shervacom grants you a nonexclusive, nontransferable license to retain, copy for your own use and backup, use, and adapt the delivered Pack for your own personal educational and organizational process. This permission has no scheduled expiry for those delivered files, subject to compliance with this license; it does not depend on Shervacom continuing a service.

You may edit the workbooks, checklists, procedures, templates and prompts, record your own notes, and use adapted copies in your own AI accounts and personal working environments, subject to the relevant provider’s terms. No particular device limit, single-account restriction, or additional seat scheme is imposed by this license. These permissions remain personal to you; they do not grant use by other people or organizations.

3. Ownership and uses not licensed

Shervacom retains its rights in the Pack, its original text, templates, prompts and branding. Your purchase does not transfer ownership of that intellectual property. You retain your rights in your own original notes and content. Shervacom does not claim ownership of your personal data or independent AI output through this license; any third-party rights or provider terms still apply. Your adaptations do not transfer ownership of Shervacom’s underlying materials to you.

You may not redistribute, publish, share with third parties, resell, sublicense, or otherwise supply the Pack or adapted copies of its materials. You may not install it for clients, use it to deliver services to clients or other third parties, or make it available as a shared library, hosted product or commercial offering. Personal adaptation is allowed; commercial or third-party exploitation of the licensed materials is not granted. Any such permission would require a separate written agreement from Shervacom. This restriction does not claim rights in your independent material or restrict rights that applicable law makes nonwaivable.

4. Educational process only; no trading service

Process Desk is educational and organizational process tooling related to trading. It is not financial, investment, tax or legal advice; a signal service; a registered investment adviser (RIA); a broker-dealer; discretionary account management; or trade execution. Buying the Pack does not create an advisory, brokerage, fiduciary, or account-management relationship with Shervacom.

The Pack does not tell you what to buy, sell or hold, select instruments for you, recommend position sizes, or provide trading alerts or price targets. It includes no broker connection, account access, order routing or execution. No role places, routes, modifies or cancels an order, even if you say yes. A ticket must remain labeled “TEMPLATE — NOT AN ORDER”; it is a process template, not an instruction to trade. Any decision and any action in your broker account are yours alone.

Synthetic examples are fiction, not recommendations or marketed results. Adherence scores record documented process steps, not profitability. Preserving capital is a discipline, not a promise. There is no guarantee of profits, preserved capital, suitability for a trade, or avoidance of loss.

5. Third-party requirements and independence

The founder’s personal trading desk is not included.

You obtain and maintain any required AI, broker, platform or other third-party accounts, licenses and subscriptions yourself, and pay their fees directly. The Pack price includes no model usage, credits, top-ups, unlimited calls, broker subscription, or third-party plan. A broker account is not required to read the educational files; the Pack does not connect to one.

Third parties control their availability, features, pricing, privacy practices and terms. References to a provider do not imply affiliation, endorsement, sponsorship or partnership. Shervacom does not guarantee compatibility, uninterrupted access, or continued operation on any third-party platform. Loss of platform access does not transfer or enlarge this license, nor does it end your permission to keep and use the delivered files in another permitted personal environment.

6. Privacy, security and AI limitations

You decide what information to record or submit to your own accounts. Review each provider’s privacy, retention, training and security settings and obtain any permissions needed before submitting information. Do not paste broker passwords, API keys, full account numbers, trading permissions or other secrets into the Pack or AI chats. Avoid submitting sensitive personal, financial or third-party information unnecessarily.

The Privacy Guard and other prompt rules are behavioral instructions, not a vault, technical access control, guarantee of confidentiality, or proof of data isolation. This license does not authorize Shervacom to access your AI or broker accounts. Your responsibility for your own submissions does not remove any legal responsibility Shervacom may have for information it actually handles.

AI output can be inaccurate, fabricated, incomplete, inconsistent or contrary to a prompt. Check outputs independently, keep your own records and do not rely on a model to enforce risk, privacy or legal obligations. If an output leaves the educational process boundaries, stop using that output and return to the applicable checklist or troubleshooting instructions; do not treat it as a trading recommendation.

7. Delivery, updates and assistance

The purchase covers only the current v1 files delivered for that purchase. It includes no contractual commitment to corrective patches, updates, future versions, ongoing compatibility work, monitoring, human sessions, installation service, consultation, response time or service-level agreement. Any later offering requires separate terms; it does not arise automatically from this purchase. Any one-on-one (1:1) session is a separate service under its own written agreement, is not included in the Pack, and does not include recommendations to buy, sell or hold any instrument or on position size.

If a delivered file is corrupted, contact sher@shervacom.com for a replacement copy of the same purchased v1 file. Replacement of a corrupted file is not technical support, an update or a new version; it does not create an ongoing service or a response-time commitment.

There is no additional voluntary return, cancellation or refund promise in this license. This is not an “all sales final” waiver: any mandatory right to cancel, obtain a refund, repair, replacement, conformity or another remedy remains available under applicable law. Mandatory supply and remedy obligations are not excluded by the absence of contractual support or update promises. Contact sher@shervacom.com to raise a delivery or rights issue; this does not promise a response deadline.

8. Warranties

The Pack is supplied as educational process material, not as a representation that its use or any resulting output will be error-free, financially successful, or suitable for your particular circumstances. Except for express commitments in the authorized sale description and rights that cannot lawfully be excluded, it is provided “as is,” without additional warranties of merchantability, fitness for a particular purpose or noninfringement, to the extent applicable law permits those exclusions. This section does not negate an express product description or any mandatory digital-content, consumer, conformity or other statutory protection.

9. Reasonable limits of liability; mandatory exceptions

Only to the extent permitted by applicable law, Shervacom is not liable for indirect or consequential loss, lost profits, lost business opportunities or trading losses arising from use of or reliance on the Pack or AI output. Subject to the exceptions below, Shervacom’s total liability arising from the Pack or this license is limited to the amount you actually paid for this Pack.

Neither that cap nor any exclusion in this license limits liability for fraud, intentional misconduct, gross negligence, death or personal injury, or any liability or remedy that applicable law does not allow to be excluded or limited. Mandatory refunds and statutory remedies are not reduced by the cap. Where an exclusion or limit is not permitted, the applicable mandatory rule controls. Nothing requires you to indemnify Shervacom, waive a nonwaivable right, or accept trading losses as a waiver of a valid legal claim.

10. Language, other rights and changes

English is the primary text; the Spanish version is a full translation, not a summary. The versions are intended to have the same meaning. Where law permits, the English text resolves an inconsistency, without reducing mandatory language, consumer or other nonwaivable rights.

This license governs permission to use the delivered Pack; it does not replace mandatory law or any express commitment in the authorized sale. No later website edit or later license automatically changes the terms for your delivered files. A separate service or additional permission requires a separate agreement. No arbitration requirement or class-action waiver is imposed here. Any unenforceable provision is limited only to the extent necessary under applicable law; the rest remains effective where legally possible.

11. Termination

This license terminates automatically if you breach its terms. On termination, you must stop using the Pack and delete all copies of the Pack and adaptations of its materials in your possession or control. The provisions on intellectual property, warranties and liability survive termination. Termination does not remove any nonwaivable statutory right or remedy.

12. Governing law, courts and contact

This license is governed by the laws of Puerto Rico. Disputes concerning this license are to be brought before the courts in San Juan, Puerto Rico, without limiting any nonwaivable right to bring a claim before another competent court or to receive protection under mandatory laws applicable to you. Nothing in this clause waives mandatory consumer or other statutory rights.
